USER AGREEMENT

1. Acceptance of Terms

By accessing or using the ManorAI.xyz website, platform, or any products or services offered by Manor AI LLC ("Manor AI", "we", "our", "us"), you ("User", "you", "your") agree to be bound by this User Agreement ("Agreement").

If you do not agree, you must not use the platform.

2. Description of Services

Manor AI provides an AI-powered home and property management platform, which may include:

• AI chat assistance for tenants, landlords, and property managers
• Task management, communications, and scheduling tools
• Data analytics and automation features
• Integration with third-party services
• Business tools such as pricing algorithms, booking systems, and customer dashboards

We may update or modify features at any time.

3. Eligibility

To use our services, you must:

• Be at least 18 years old
• Have the legal authority to enter into contracts
• Use the platform only for lawful purposes

If you are using ManorAI on behalf of a company, you confirm you are authorized to bind the company to this Agreement.

4. User Accounts

You may need to create an account to access certain features. You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your login credentials
• Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts for violations or suspicious activity.

5. User Responsibilities

You agree not to:

• Misuse, reverse-engineer, copy, or exploit our AI models or underlying systems
• Upload unlawful, harmful, misleading, or defamatory content
• Use the platform to harass, harm, or discriminate against others
• Attempt to bypass security, rate limits, or access controls
• Interfere with platform operation or burden our infrastructure

You are responsible for all content submitted through the platform.

6. AI-Generated Output

Manor AI generates responses using machine learning models.

You acknowledge and agree that:

• AI outputs may be inaccurate, incomplete, or not suitable for all purposes
• Manor AI does not provide legal, medical, financial, or professional advice
• You must independently verify important information
• You are fully responsible for your reliance on AI outputs

Manor AI disclaims all liability arising from the use of AI-generated content.

7. Payments & Subscriptions

Some services require payment. By purchasing a subscription or service, you agree to:

• Pay all fees associated with your plan
• Allow automatic renewal unless canceled
• Provide valid and up-to-date payment information

All fees are non-refundable except where required by law or stated otherwise.

8. Cancellation & Termination

You may cancel your account or subscription at any time through your dashboard or by contacting support.

Manor AI may suspend or terminate access if:

• You violate this Agreement
• There is fraudulent or harmful behavior
• The platform is being misused

Upon termination, access to certain data may be restricted or deleted.

9. Intellectual Property

All content, code, AI models, data structure, branding, platform features, and underlying technology are the exclusive property of Manor AI LLC.

Users are prohibited from:

• Copying, redistributing, or reselling platform features
• Training models using Manor AI outputs
• Claiming ownership of AI-generated content that violates intellectual property rights

Manor AI grants Users a limited, revocable, non-transferable license for personal or authorized business use.

10. User Content

By submitting content to Manor AI, you grant us a non-exclusive license to:

• Process the content to provide services
• Improve models and system functionality (as allowed by privacy settings)
• Store, transmit, or analyze data when necessary for platform operations

We do not sell user data.

11. Privacy & Data Protection

Your use of the platform is also governed by our Privacy Policy, which explains:

• What data we collect
• How data is used
• Your rights under U.S. and California (CPRA) law
• Data security measures

You consent to the collection and processing of data as described in that policy.

12. Third-Party Services

Manor AI may integrate with third-party APIs or services (e.g., payments, mapping, messaging, analytics, or property management tools).

Manor AI is not responsible for:

• Failures of third-party services
• Data usage practices of those third parties
• Security issues caused by external integrations

Your use of third-party tools is governed by their respective terms.

13. Disclaimers

The platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including:

• Accuracy
• Reliability
• Availability
• Fitness for a particular purpose

We do not guarantee uninterrupted or error-free service.

14. Limitation of Liability

To the fullest extent permitted by law:

• Manor AI is not liable for indirect, incidental, or consequential damages
• Total liability for any claim will not exceed the amount you paid in the past 12 months
• Manor AI is not responsible for losses resulting from reliance on AI output

Some jurisdictions do not allow all limitations, so parts may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Manor AI LLC from all claims, damages, losses, liabilities, and expenses arising from:

• Your use of the services
• Violations of this Agreement
• Misuse of AI-generated content

16. Modifications to This Agreement

Manor AI may update this Agreement at any time.

We will notify users of significant changes via email or platform notice.

Continued use after changes means acceptance of the updated terms.

17. Governing Law

This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.

Disputes shall be resolved in courts located in Santa Clara County, California.
